Rakuten Group provides more than 70 global services in various fields, such as e-commerce, travel, digital content and other internet services, fintech services including not only credit card but also banking, security, electronic money and smartphone payment services, mobile services, and professional sports. Those services form its original and unique "Rakuten Eco System" by organic link of various memberships mainly from Rakuten member. The mission of the RTS Compliance Department is to support stable and proper business operations by ensuring that Rakuten Total Solutions is managed in line with laws and regulations. As a team of legal and regulatory specialists, we help prevent legal violations and other compliance risks. By using and building knowledge of the Companies Act and other laws needed for company management, the department can directly support senior management. This time, we are hiring a person in charge of the governance function, which is one of the department’s key functions (legal, compliance, risk management, and governance). In the governance function, we handle governance-related work such as operating shareholders’ meetings and board meetings, adopting and revising approval rules and providing consultation support, supporting closing procedures, corporate registrations, managing internal rules and policies, and supporting the acquisition of licenses and permits. This is a workplace where you can experience and learn a wide range of legal tasks related to company operations. As part of our efforts to strengthen governance at Rakuten Total Solutions, we will create a dedicated governance position. The RTS Compliance Department includes many early-career members and plays an active role as a specialist team, with opportunities to work closely with executives. We are looking for a candidate who can build experience and be ready to step into a manager role in the near future. The company is working to shift from being BPO-focused within the Group to taking on projects from outside the Group. With expected expansion into many areas, this is a growth stage. You can be part of strengthening the organization and developing rules while the business evolves. We operate with speed, and quick action is required for governance matters as well. This creates a workplace with a high level of responsibility and flexibility for the person in charge. You will be close to top management and can make full use of your capabilities. You can learn governance functions broadly, covering many topics related to running a company. In the long term, you may also have opportunities to gain experience in related fields such as legal, compliance, and risk management, depending on your preferences. This role supports the foundation of company management. You will manage important meetings and maintain approval policies. By communicating and working closely with stakeholders across the company and group companies, you will help run the business in a planned and secure way. Main tasks include conducting shareholders' meetings and board of directors' meetings, preparing meeting minutes, and handling registration procedures; revising approval policies and providing consultation on approval items, levels, and related matters; supporting the year-end/period-end closing process by creating business reports and other necessary documents and managing required procedures; supporting and managing internal policies and rules, including updates and deletions; driving internal communication on governance; and supporting applications for licenses/permits and any changes to them. Examples include operating quarterly regular board meetings and additional board meetings held about 1-2 times per month, and leading periodic revisions of approval policies, including drafting and adding original company rules. The RTS Compliance Department has about 30 people, with about 3-10 people in each section. The age range is mainly in their 20s to 40s, and the ratio of new graduates to mid-career hires is 3:7. Average overtime is about 10-20 hours per month, depending on the project and the season. You will be hired under Rakuten Group, Inc. On joining, you will be seconded to Rakuten Total Solutions, Inc. as your primary assignment.
- At least 3 years of work experience - Native-level Japanese proficiency - Hands-on experience managing shareholders’ meetings and board meetings at an operating company (agenda coordination, convening, running meetings, preparing minutes, corporate filings/registrations, etc.)
- Work experience using English - Japanese attorney qualification - Experience of working as a paralegal - Experience of handling with legal filings - Hands-on experience developing and revising approval rules, and handling related consultations - Basic knowledge of the Companies Act
